Agreement to Terms
These Terms of Service ("Terms") govern your use of the Momentum Speakers website and services operated by Speaker Slam® Inc. ("we," "our," or "us"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Our Services
Momentum Speakers provides:
- Speaker Booking Services: Connecting event organizers with keynote speakers for corporate events, conferences, and other engagements.
- Speaker Training Programs: Including the Momentum Membership program, certification courses, and related educational services.
- Corporate Training: Including our "Command the Room" workshop and related team development services.
Speaker Booking Terms
Booking Process
All speaker bookings are subject to speaker availability and confirmation. A booking is not confirmed until you receive written confirmation from Momentum Speakers and any required deposits have been received.
Fees and Payment
- Speaker fees will be quoted based on the specific engagement requirements.
- A deposit of 50% is required to secure a booking, with the balance due 14 days before the event date.
- Travel, accommodation, and other expenses may be charged separately as agreed.
- All fees are quoted in Canadian dollars unless otherwise specified.
Cancellation Policy
- More than 60 days before event: Full refund minus a $500 administrative fee.
- 30-60 days before event: 50% refund of total fees paid.
- Less than 30 days before event: No refund.
- If a speaker becomes unavailable due to illness or emergency, we will make reasonable efforts to provide a suitable replacement or offer a full refund.
Event Requirements
You agree to provide:
- Adequate presentation equipment (projector, microphone, etc.) as specified by the speaker.
- A safe and appropriate venue for the presentation.
- Accurate information about audience size, demographics, and event purpose.
Training Program Terms
Momentum Membership
- Membership fees are due at registration or according to the selected payment plan.
- Monthly payment plans are binding for the full program term.
- Membership includes access to scheduled classes, materials, and benefits as described at time of enrollment.
Refund Policy for Training Programs
- Within 7 days of enrollment: Full refund if no classes attended.
- After 7 days or after attending any class: No refund, but you may transfer your membership to another person with our approval.
- Payment plan participants remain responsible for all scheduled payments regardless of attendance.
Class Attendance
Classes are scheduled in advance and attendance is your responsibility. We do not provide refunds or credits for missed classes. Recordings may be made available at our discretion.
Corporate Training Terms
- Corporate training fees are quoted per engagement based on group size, duration, and customization requirements.
- A 50% deposit is required to confirm booking, with the balance due upon completion.
- Cancellation terms follow the same policy as speaker bookings above.
- Client is responsible for providing suitable venue space and any required equipment.
Intellectual Property
All content on this website, including text, graphics, logos, images, and software, is the property of Speaker Slam® Inc. or its content suppliers and is protected by Canadian and international copyright laws.
Training materials, presentation content, methodologies, and curricula provided through our programs remain our intellectual property. You may not reproduce, distribute, modify, or create derivative works from our materials without written permission.
"Speaker Slam" is a registered trademark of Speaker Slam® Inc.
Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
- Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We are not responsible for the content of any speaker's presentation or any claims made by speakers during their engagements.
- We do not guarantee specific outcomes from speaker engagements or training programs.
Indemnification
You agree to indemnify and hold harmless Speaker Slam® Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
Recording and Photography
Unless otherwise agreed in writing:
- You may not record, broadcast, or livestream speaker presentations without prior written consent from both Momentum Speakers and the speaker.
- We may photograph or record our training sessions and events for promotional purposes. By participating, you consent to such recording and its use in our marketing materials.
Dispute Resolution
These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes arising from these Terms or our services shall be resolved through:
- Good faith negotiation between the parties.
- If negotiation fails, mediation in Toronto, Ontario.
- If mediation fails, binding arbitration in Toronto, Ontario under the Arbitration Act of Ontario.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
